This is an informational translation provided for convenience. The Spanish-language version is the only legally binding one under Peruvian law. If anything here conflicts with the Spanish original, the Spanish original controls.
1. Who we are
factsimil is a service operated by MULTISERVICIOS KADA EIRL, RUC 20612829579, domiciled in Peru (referred to as "factsimil," "we," or "the provider"). These Terms and Conditions ("Terms") govern access to and use of the API, the web panel, and any related service (together, the "Service") by any individual or entity that registers for or uses the Service ("Customer" or "you").
By creating an account, requesting access, or integrating the Service, you agree to be bound by these Terms. If you're acting on behalf of a company, you represent that you have sufficient authority to bind it.
2. Purpose of the service
factsimil provides a REST API and a web panel for issuing electronic payment receipts (invoices, boletas, credit and debit notes, dispatch guides, and proformas) in accordance with the technical specifications of the Sistema de Emisión Electrónica (SEE) of SUNAT (Peru's tax authority), including generating the standardized XML, signing it with the Customer's digital certificate, transmitting it to SUNAT, and obtaining the corresponding Constancia de Recepción (CDR). Depending on the plan, it also includes inventory, point-of-sale, online store, and accounting modules.
The Service is a technical tool supporting electronic invoicing. It does not constitute accounting, tax, or legal advice, and does not replace the professional judgment the Customer must apply to their own tax obligations.
3. Registration and accounts
To use the Service you need to create a "tenant" account tied to your RUC and provide accurate, current, and complete information. You're responsible for keeping your contact and billing details up to date, and for promptly notifying us of any relevant change (for example, a change of digital certificate, legal name, or authorized series).
Each tenant can manage several internal users with different access levels, up to the maximum included in its plan (section 8). The Customer is responsible for actions taken by the users it manages within its account.
4. Use of API credentials
API keys, session tokens, and access credentials are personal to, and non-transferable from, the tenant that generates them. You're responsible for keeping them confidential, restricting their use to authorized personnel, and rotating or revoking them immediately if you suspect they've been compromised.
factsimil is not responsible for receipts issued, queried, or voided using valid Customer credentials, even if that use wasn't internally authorized by the Customer, unless such use is a direct result of a security failure attributable to factsimil.
5. Acceptable use
By using the Service, you agree not to:
- Issue receipts that don't correspond to real transactions or that are intended to defraud tax authorities or third parties.
- Attempt to breach, deliberately overload, or reverse-engineer the API or its infrastructure.
- Share, resell, or sublicense API access to unauthorized third parties without prior written agreement.
- Use the Service for activities unlawful under applicable Peruvian law.
Breaching this section entitles factsimil to suspend access under section 15.
6. The service in relation to SUNAT
factsimil operates under the SEE del Contribuyente model: the Customer itself, through our platform, transmits directly to SUNAT using its own digital certificate. factsimil does not act as an intermediary Operador de Servicios Electrónicos (OSE), nor does it assume the role of issuer of the receipts.
Tax and legal responsibility for the content, accuracy, and timeliness of the receipts issued — including series, sequential numbers, taxes applied, and buyer data — rests entirely with the Customer, in its capacity as the electronic issuer. factsimil provides the technical infrastructure for generation, signing, and transmission, but does not validate the substance of the commercial transactions underlying each receipt.
To issue receipts with tax validity, the Customer must be enrolled in SEE del Contribuyente and have registered its digital certificate with SUNAT, steps it completes with its own SOL credentials; factsimil does not complete them on its behalf. While the account is in beta mode, receipts are sent to SUNAT's test environment and have no tax validity: they must not be handed to third parties as real receipts.
7. Availability and support
We make reasonable (best-effort) efforts to keep the Service continuously available, including retry and contingency mechanisms for temporary SUNAT outages. There may be scheduled maintenance windows, which we try to communicate in advance, and events outside our reasonable control (force majeure, including SUNAT system unavailability) that affect the Service's availability.
8. Plans, free trial, and fees
Plans. The Service is offered under the plans published at /precios: Negocio (US$11.80/month), Negocio Plus (US$57.82/month), Contable (US$116.82/month per company), and API, which is contracted on custom terms with our sales team. Prices are in US dollars and include IGV (Peruvian VAT). Each plan includes a maximum number of users — API: 1; Negocio and Negocio Plus: 3; Contable: 10 per company — counting your own account, the users you invite, and pending invitations.
Per-company billing on the Contable plan. Each company (RUC) that an accountant adds and manages from their account is a separate Contable subscription, with its own free trial and its own monthly charge.
Free trial. When you sign up you get a 15-day free trial of your starting plan, with no card required. During the trial you issue in beta mode (section 6) until you activate production. We email you on day 10, on day 14, and on the day the trial ends — to the billing contact you registered or, if there is none, to the account's administrators. Each company (RUC) gets a single free trial.
Integration sign-up. If you sign up as Integration, the free trial is on the API plan: you issue through the API and the panel is read-only. To continue after the trial, the API plan is contracted with our sales team (info@factsimil.com) on the terms we agree.
Plan changes. Today, plan changes are made by the factsimil team at the request of the account administrator; before applying one we confirm the new amount. Changes to current fees are communicated by email at least 30 days in advance to active customers.
9. Subscription, recurring billing, and cancellation
Recurring charge authorization. To continue on the Negocio, Negocio Plus, or Contable plans after the trial, the administrator registers a card through our payment gateway (Izipay). By registering it, you expressly authorize a recurring monthly charge for your plan's price including IGV, until you cancel the subscription. factsimil does not store your full card details: the gateway processes them.
First charge. The first charge is made at the moment you register the card, even if trial days remain: the free trial ends at that moment and your first paid month begins. Subsequent charges are made automatically every month from that date.
Cancellation. The administrator can cancel the subscription at any time from My Account → Plan and billing, or by writing to info@factsimil.com. Cancelling stops future charges: we cancel the recurring subscription at the payment gateway and you keep access until the end of the period already paid. If the gateway does not confirm the cancellation right away, we retry automatically and you will not be charged again. You can subscribe again whenever you want.
Refunds. Months already started are not refunded pro rata. If you spot a duplicate or improper charge, write to us and we will refund it to the same payment method. Nothing above limits the rights granted to you by Peru's Consumer Protection and Defense Code (Law No. 29571).
10. Non-payment, grace period, and suspension
Trial ends without a card. If the trial ends with no card registered, the account is left with payment pending: you cannot issue receipts or record new transactions, and API credentials respond that the trial has expired, until you register your card. Your data is kept.
Declined charge and grace period. If a monthly charge is declined, you have a grace period of 3 to 7 days (currently 5 days) to update your card; during that period you can log in to the panel and pay, and we tell you so there. If the payment is not settled when the grace period ends, the account is suspended for non-payment. The suspension is lifted as soon as the payment is confirmed.
11. Access to your receipts
If your account has a payment pending, is suspended for non-payment, or you move to a plan that no longer includes a module, you can still view and download the receipts you issued — signed XML, CDR, and PDF, per period, from My Account — and the books and records for the periods in which your plan included them. What you cannot do is issue receipts or record new transactions in the modules your plan no longer includes.
The Customer is responsible for keeping its receipts and books for the period required by tax law. After the account is terminated, you can request a copy of your historical receipts during the retention period stated in the Privacy Policy.
12. Intellectual property
The software, the "factsimil" brand, the documentation, and other Service materials are the property of MULTISERVICIOS KADA EIRL or its licensors. These Terms don't transfer any intellectual-property rights to the Customer; only a limited, non-exclusive, non-transferable license to use the Service for its intended purpose is granted.
The data, receipts, and content the Customer generates through the Service remain the Customer's property.
13. Confidentiality and data
Both parties agree to keep confidential any non-public information exchanged under the Service. The handling of personal data is governed by our Privacy Policy, and cookie use by our Cookie Policy.
14. Limitation of liability
To the maximum extent permitted by Peruvian law, factsimil will not be liable for indirect damages, lost profits, data loss, or business interruption arising from use of the Service. Our aggregate liability to the Customer for any claim related to the Service is limited to the amount actually paid by the Customer in the three (3) months preceding the event giving rise to the claim.
Nothing in this section limits liability for willful misconduct, gross negligence, or in cases where Peruvian law doesn't permit such limitation.
15. Suspension and termination
In addition to suspension for non-payment (section 10), we may suspend or cancel access to the Service, with notice when reasonably possible, in the event of a breach of these Terms, fraudulent use, or a security risk to the platform or third parties. The account administrator can close the account at any time, immediately and without waiting on a manual reply, from Company settings → Close my account in the web panel (or My account → Delete my account in the app); the rest of the team can request it by writing to info@factsimil.com. Closing the account cancels the recurring subscription and no new charges are made.
After termination, the Customer retains the right to request a copy of its historical receipts during the retention period stated in the Privacy Policy.
16. Changes
We may update these Terms to reflect regulatory, technical, or commercial changes. We'll publish the current version on this same page with the last-updated date, and notify active customers of material changes by email at least 15 days in advance.
17. Governing law and jurisdiction
These Terms are governed by the laws of the Republic of Peru. Any dispute arising from their interpretation or performance will be submitted to the courts of the judicial district of Lima, Peru, waiving any other venue that might otherwise apply, without prejudice to the rights that consumer protection law grants the Customer.
